Share capital
The share capital is DKK 39,150,000 divided into DKK 2,700,000 A shares and DKK 36,450,000 B shares.
The B share capital is quoted on Nasdaq Copenhagen A/S. The B share capital is distributed on shares of a nominal value of DKK 2 and comprises 18,225,000 shares. The B shares are negotiable instruments issued to bearer but can be registered in the name of the holder in the company’s register of shareholders.

The A shares carry ten times the voting right of the B shares. The A shares are non-negotiable instruments.
Shareholders
All A shares are owned by the foundation “Per og Lise Aarsleffs Fond”.
At 8 December 2023, the following shareholders of Per Aarsleff Holding A/S owned more than 5 percent of the share capital or controlled 5 percent of the voting rights:

Shareholders may exercise their voting rights at the Annual General Meeting only after having had their shares entered in the company’s register of shareholders or after due notification and documentation of their acquisition of shares prior to the convening of the Annual General Meeting.
Treasury shares
At 30 September 2023, the holding of treasury shares was 1,310,374 B shares. Of these, 369,874 shares are used for meeting the company’s obligations related to the Group’s employee share programme.
According to the minutes of meeting of the annual general meeting on 29 January 2024, the company’s share capital has, effective 9 April 2024, been reduced from nominally DKK 40,700,000 to nominally DKK 39,150,000 by cancellation of part of the company’s own B shares. Subsequently, the holding of own B shares constitutes 500,251 shares.
The holding of treasury shares has been acquired to increase the financial flexibility for future acquisitions.
Market capitalisation
At 30 September 2023, the market capitalisation of the company shares was DKK 5,743 million.
Dividend
The Board of Directors recommends for adoption at the future Annual General Meeting that a dividend corresponding to DKK 10 per share be paid.
